Agreement

These Terms of Use (“Terms”) govern your access to the public website of Prime Energy Contract Services (“Prime Energy,” “we,” “us”) at primeenergycs.com and related pages. By using the site, you agree to these Terms. If you do not agree, do not use the site.

Our Privacy Policy explains how we handle personal information. Engineering, testing, and assembly work for a customer are governed by a separate written agreement, purchase order, or statement of work — not by these website Terms alone.

The website is informational

Content on this site describes our capabilities, facility, and typical programs. It is not a quote, not an offer to perform professional engineering services, and not a substitute for project-specific engineering judgment. Specifications, photos, timelines, and examples may change. We may update or remove pages at any time.

Inquiries and forms

Submitting Talk with us, Test a battery, or an employment email is a request for contact. It does not create a contract, confidentiality obligation, or commitment to quote, hire, or test. Do not send information you are not authorized to disclose. If you need an NDA before sharing drawings or data, say so in your message and wait for written confirmation.

You are responsible for the accuracy of information and files you submit. We may refuse, delete, or ignore submissions that appear abusive, automated, or unrelated to our work.

Intellectual property

The site design, text, logos, photographs, and other materials are owned by Prime Energy or used with permission. You may view and print pages for personal or internal business evaluation of Prime Energy. You may not copy, scrape, resell, or republish substantial content without our written permission, except as allowed by law (for example fair use).

“Prime Energy,” related marks, and the Modular Energy Cube materials are used to identify our company and offerings. Trademarks of others remain their property.

Acceptable use

You agree not to:

• Use the site for unlawful, deceptive, or harmful purposes.
• Attempt to break, overload, or bypass security, forms, or access controls.
• Submit malware, spam, or content that infringes others’ rights.
• Misrepresent your identity or affiliation when contacting us.
• Harvest emails or scrape the site with automated tools in a way that disrupts the service.

Third-party services and links

The site may link to news, partners, maps, or other sites we do not control. Those destinations have their own terms. Forms, hosting, analytics, and spam checks are provided in part by third parties (including Netlify, Microsoft, and Google). Their outages or policies can affect the site.

No warranties

THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the site will be uninterrupted, error-free, or free of harmful components.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRIME ENERGY AND ITS OWNERS, EMPLOYEES, AND SUPPLIERS ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR BUSINESS, ARISING OUT OF YOUR USE OF THE SITE OR RELIANCE ON ITS CONTENT, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR CLAIMS ARISING FROM THE PUBLIC WEBSITE IS LIMITED TO ONE HUNDRED U.S. DOLLARS (US $100). These limits do not apply where the law does not allow them, and they do not change liability under a signed customer contract.

Indemnity

You agree to defend and hold Prime Energy harmless from claims, damages, and reasonable legal fees arising from your misuse of the site, your submissions, or your violation of these Terms, except to the extent caused by our own willful misconduct.

Governing law

These Terms are governed by the laws of the State of Michigan, United States, without regard to conflict-of-law rules. Courts located in Oakland County, Michigan, or the U.S. District Court for the Eastern District of Michigan, will have exclusive jurisdiction over disputes about the public website, unless applicable law requires otherwise.

Changes

We may revise these Terms by posting an updated version on this page. The “Last updated” date will change when we do. Continued use of the site after a posting constitutes acceptance of the revised Terms.
